At Jerykah Imari Consulting LLC (“JIC,” “we,” “our,” or “us”), we are committed to protecting the integrity and privacy of all information entrusted to us in the course of our operations. This Confidentiality Policy outlines the principles, expectations, and responsibilities regarding the handling of confidential information disclosed by clients, partners, contractors, and employees.

This policy applies to all individuals who access or handle proprietary, sensitive, or non-public information obtained through engagement with JIC, whether formal or informal, temporary or ongoing.

1. Purpose

The purpose of this policy is to establish clear standards for the proper handling, use, storage, and protection of confidential information to ensure trust, minimize risk, and maintain the professional and legal obligations of JIC.

2. Definition of Confidential Information

“Confidential Information” refers to any data, documentation, communication, or material—whether written, oral, digital, or visual—that is not publicly available and that relates to the business, operations, strategy, clients, or intellectual property of JIC. This includes, but is not limited to:

  • Client identities and personal details

  • Business plans, strategic documents, and proprietary methods

  • Financial records and invoicing information

  • Project deliverables, frameworks, and templates

  • Marketing strategies and internal reports

  • Legal documents and correspondence

  • Login credentials, passwords, or digital system access

Confidential Information may also include third-party data obtained in the course of professional service.

3. Confidentiality Obligations

All individuals handling Confidential Information are expected to:

  • Treat all Confidential Information as strictly private and confidential

  • Access such information only when authorized and required for legitimate business purposes

  • Refrain from sharing, discussing, or disclosing Confidential Information to unauthorized parties, both internal and external

  • Take reasonable measures to prevent unauthorized access, including password protection, secure storage, and device safeguards

  • Notify JIC management immediately in the event of a suspected breach, loss, or unauthorized disclosure

Confidentiality obligations apply both during the period of engagement and **continue indefinitely** after termination of the relationship unless otherwise specified by law or mutual written consent.

4. Exclusions

  • This policy does not apply to information that:

  • Is already in the public domain through lawful means

  • Was rightfully known or disclosed to the individual without restriction prior to receipt

  • Is independently developed without use of confidential sources

  • Is required to be disclosed by court order, subpoena, or applicable law (provided JIC is given prompt notice of the request when legally permissible)

5. Enforcement and Disciplinary Action

Breach of this Confidentiality Policy may result in immediate termination of contract, engagement, or employment and may subject the violating party to legal action, including but not limited to injunctive relief, compensatory damages, and recovery of legal costs.

JIC reserves the right to investigate all suspected breaches and take appropriate disciplinary action consistent with applicable laws and agreements.

6. Data Security Measures

To support confidentiality, JIC maintains internal safeguards including but not limited to:

  • Secure digital file management with access restrictions

  • Non-disclosure agreements (NDAs) with employees, clients, and vendors

  • Encrypted communication channels and secure document sharing platforms

  • Confidentiality training for staff and contractors

7. Policy Review and Updates

This policy may be reviewed and amended periodically to reflect changes in applicable law, industry standards, or company practices. The latest version will always be made available upon request and/or posted on our official company site.
